Terms of Service — Dobby AI

1. Acceptance of Terms

By accessing or using the Dobby AI platform ("the Service"), operated by DataOps Valley Ltd. ("Dobby AI", "we", "us", "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of the Service

Dobby AI is the home for your AI agents — a multi-tenant SaaS platform that enables teams and enterprises to connect, monitor, and control AI agents from any framework. The Service provides:

  • AI agent deployment and lifecycle management across multiple frameworks
  • Human-in-the-loop approval gates for agent actions
  • Organizational policy enforcement (cost controls, model restrictions, content rules)
  • An Agentic Gateway for routing LLM and MCP requests with authentication and metering
  • Immutable audit trail and observability for all agent activity
  • Multi-tenant data isolation with regional data residency (IL / EU / US)
  • Role-based access control (RBAC) at platform, organization, and tenant levels
  • Emergency kill-switch controls to halt agent operations

3. Account Registration

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • You may not share account credentials or API keys with unauthorized third parties

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms.

You agree not to:

  • Use the Service to deploy agents that violate applicable laws or regulations
  • Attempt to bypass security controls, approval gates, or policy enforcement mechanisms
  • Use the Service to process data in violation of data protection regulations
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Exceed usage limits defined by your subscription plan or impose unreasonable load
  • Share, resell, or sublicense access to the Service without prior written consent

5. Subscription and Payments

  • The Service is offered under monthly or annual subscription plans
  • Payment is processed securely via Stripe
  • You may cancel your subscription at any time; access continues until the end of the current billing period
  • We do not provide refunds for partial billing periods unless required by applicable law
  • We reserve the right to modify pricing with 30 days' prior notice

6. Your Data and Intellectual Property

You retain all rights to the data you submit to the Service ("Customer Data"), including prompts, agent configurations, task definitions, and business content.

  • We process Customer Data solely to provide and improve the Service
  • We do not use Customer Data to train AI models
  • Customer Data is stored in the region you selected during onboarding (IL, EU, or US)
  • Upon termination, you may request export of your data within 30 days

7. Third-Party Services and LLM Providers

The Service integrates with third-party AI model providers (such as Anthropic, OpenAI, Google, and others) and external services. Your use of these providers through our Agentic Gateway is also subject to their respective terms of service. We act as a data processor when routing requests to third-party LLM providers on your behalf.

8. Confidentiality

Each party agrees to protect the other's Confidential Information with the same degree of care used for its own confidential information, but no less than reasonable care. Confidential Information includes, but is not limited to, Customer Data, API keys, agent configurations, business processes, and pricing terms.

9. Service Availability

We strive to maintain high availability of the Service. However, the Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation. Planned maintenance windows will be communicated in advance where possible.

Enterprise customers may negotiate a separate Service Level Agreement (SLA) with defined uptime commitments and support response times.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Dobby AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability shall not exceed the amounts paid by you for the Service during the twelve (12) months preceding the claim.

11. Termination

  • Either party may terminate with 30 days' written notice
  • We may suspend or terminate access immediately for material breach of these terms
  • Upon termination, your right to use the Service ceases; data export is available for 30 days
  • Sections on confidentiality, limitation of liability, and governing law survive termination

12. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or a notice within the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.

14. Enterprise Addenda

Enterprise customers may request supplementary agreements including:

  • Data Processing Agreement (DPA) with Standard Contractual Clauses (SCCs)
  • Service Level Agreement (SLA) with uptime and response time commitments
  • Security Addendum with detailed security controls and audit rights
